Highlights
- Advising underwriters on preparation for an IPO and dual listing of Eesti Energia, Estonia’s largest electricity producer and distributor and shale oil producer. The IPO would have been the largest in the Baltic states but the process was frozen in May 2010. Our assignment involved among others carrying out thorough due diligence and advising the banks on Estonian energy law issues;
- Advising the European Bank for Reconstruction and Development (EBRD) on its equity investment of EUR 22.5 million in one of the largest Baltic renewable energy companies Freenergy in spring 2009. Our assignment involved among others carrying out due diligence of the renewable energy business of Freenergy and advising EBRD on the transaction';
- TARK GRUNTE SUTKIENE acted as the main legal adviser of the private investor UAB NDX energija in the preparation and completion of the transaction establishing the national electricity company LEO LT, AB (during the transaction the main Lithuanian electricity company Lietuvos Energija and two distribution system operators Rytų Skirstomieji Tinklai and Vakarų Skirstomieji Tinklai were consolidated. This transaction resulted in the establishment of the company LEO LT, AB that will participate in the construction of a new nuclear power station and an electricity bridge to Sweden). The firm consulted on the separation of activities and other regulatory requirements set forth in EU and national law;
- Our lawyers counselled UAB 4energia on various construction contract-related issues in connection with the construction of wind power plant parks and the development of corresponding infrastructure in Lithuania.
