Highlights
- The firm counselled Thermo Fisher Scientific Inc., world’s leader of serving science in acquisition of Fermentas, global molecular product inventor. The transaction value was USD 260 million;
- We advised Swedbank in their Baltic record breaking takeover of Hansabank (EUR 1.7 billion);
- We acted for the City of Tallinn in its 30 year concession for Tallinn Heating Company, the Republic of Estonia in the privatisation of Estonian Railways, Group 4 Securicor, ISS, CRH and others in their acquisitions in Estonia;
- The firm has acted as legal counsel for UAB NDX energija, a private investor in the formation of the Lithuanian Electricity Organization, the largest M&A transaction in Lithuania and the region to date;
- The firm has also acted for AB SANITAS and its shareholders in connection with the review of the strategic alternatives for AB SANITAS, including the possible sale of the controlling stake in AB SANITAS, which at the time had a market capitalization of EUR 270 million;
- Provided full transaction services to UAB EVA GRUPĖ in relation to acquisition of a controlling stake in Mieszko SA (Poland) from UniCredit AG (Germany);
- The firm counselled Tiltra Group on acquisition of the Poldim group. The firm’s services included advice on the transaction structure, drafting of transaction documents, assistance in the negotiations, obtaining the required merger clearances and overall handling of legal matters pertaining to the transaction;
- Advising Amber Trust II S.C.A and Firebird Avrora Fund regarding the contemplated sale of a stake in Geonafta group, the biggest oil extraction group in Lithuania.
