Submission of an issuer’s corporate governance report is now required by law. Listed issuers of shares and parent companies consolidating their accounts are now required to provide information on compliance with corporate governance recommendations in their annual reports. This requirement applies to reporting periods starting from 1 July 2009 or later. There will be no major changes for companies that have submitted reports on compliance with the Corporate Governance Recommendations adopted by the Tallinn Stock Exchange.

On 31 March 2009, Tark & Co’s partners, Margo Lemetti and Hannes Vallikivi, and attorney-at-law, Olger Marjak, appeared as speakers at a law seminar held at Tartu Science Park. They spoke on topical issues of business, labour and IP law, including involvement of investors, management liability, new Employment Contracts Act, legal protection of databases, protection of personal data, etc.
Tartu Science Park is the oldest organisation uniting high-tech companies in Estonia. Currently there are about 60 companies in the science park, engaged in the research, development and production of various high-tech solutions from computer software and apparatus building to bio- and nanotechnology.

In its recent ruling, the Supreme Court provided clarification on the regulation of consumer credit agreements. The Court gave an analysis of § 416(3) of the Law of Obligations Act, according to which cancellation of the agreement by the creditor will result in reduction of the unpaid gross amount of credit by the interest and the costs calculated for the consumer for the period when the credit is not used. The Court held that the aforementioned provision regulates the prohibition to request payment of interest for the period when credit was not used, and does not regulate the consequences of a delay in credit repayment.
