On 20 November, a seminar on cross-border mergers was organised by Tark & Co in cooperation with Äripäev.
At the seminar, issues relating to cross-border mergers were addressed from different angles. Legal aspects were covered by the attorneys Hannes Vallikivi, Kristi Kullerkup, Sintija Radionova and Marius Matonis from Tark & Co, and from the Latvian law firm LGC and Lithuanian law firm SPP forming an alliance with Tark & Co. Accounting aspects were dealt with by Rita Ilisson (International University Audentes) and tax aspects by Sebastian Kellas (Finnish KPMG). Erki Kilu (Chairman of the Management Board of Seesam Life Insurance SE) shared his experience of conducting the cross-border merger of Seesam Life Insurance SE, the second SE formed this way in the Baltics and about the fifteenth throughout Europe. The respective experience in Finland and Sweden was touched upon by Sebastian Kellas and Fredrik Andretzky, a partner with the leading Swedish law firm, Mannheimer Swartling.
A cross-border merger is a new trans-European method of corporate restructuring. By 15 December 2007, all EEA Member States must bring into force the regulations necessary to comply with the respective EU Directive (2005/56/EU). The Estonian Parliament adopted a corresponding act on 22 November and the act will enter into force on 15 December 2007.
