With advice of TARK GRUNTE SUTKIENE, the first admission of Lithuanian shares to trading on the regulated market of a foreign country completed successfully

TARK GRUNTE SUTKIENE counselled the intermediary Dom Maklerski BZ WBK S.A. and the adviser Rubicon Partners Dom Maklerski S.A. of the initial public offering of shares in AB Avia Solutions Group (hereinafter, the Company), in offering the newly issued shares of the Company to investors in Poland and admitting the Company’s shares to trading on the regulated market of Poland, i.e. the Warsaw Stock Exchange.

The company’s shares have been successfully placed on and admitted to the Polish regulated market at the beginning of March 2011. As a result, the Company raised the capital of approximately EUR 19 million and the offering and subsequent listing of the shares on the Warsaw Stock Exchange was the first admission of Lithuanian shares to trading on the regulated market of a foreign country.

TARK GRUNTE SUTKIENE, led by Vidmantas Drizga (partner) and Mantas Gofmanas (associate attorney-at-law), consulted the intermediary and the adviser on Lithuanian law matter (Baker & McKenzie, one of the largest law firms in the world, consulted the intermediary and the adviser on Polish law matter), drafted the prospectus on offering and admission of the Company’s shares to trading on the regulated market of Poland, as well as all other documents related to the project, represented the company, the intermediary and the advisor before the Securities Commission of the Republic of Lithuania, the Lithuanian Central Depository of Securities and performed all other necessary actions to that effect.
