Experience:

  • Advised AB Invalda, majority shareholder, in the merger of AB Tiltra Group, regional transport infrastructure construction group which home markets are Poland and Lithuania, with Trakcja Polska SA, the leading rail infrastructure construction group in Poland. At close to EUR 200 million this belongs to the largest recent M&A deals in the region;
  • Provided full transaction services to UAB EVA GRUPĖ in relation to acquisition of a controlling stake in Mieszko SA (Poland) from UniCredit AG (Germany), valued at EUR 31 million. The transaction had a complex structure, as it involved the seller from Netherlands, creditor in Germany, bankrupt estate in Luxembourg, the target listed company in Poland, takeover bid in Poland and financing in Lithuania. TGS handled most of the transaction advisory work. The buyer’s takeover bid followed the transaction in the Warsaw Stock Exchange;
  • Counselled Tiltra Group on acquisition of the Poldim group. Services included advice on the transaction structure, drafting of transaction documents, assistance in the negotiations, obtaining the required merger clearances and overall handling of legal matters pertaining to the transaction. POLDIM SA with its seven subsidiaries is engaged in road and bridge construction and repair business in the southern part of Poland. The company also develops, produces and markets asphalts, modified asphalts, asphalt emulsions, hot and cold mix asphalts from its production facilities, which are located throughout Poland. Tiltra Group is the largest group of transport infrastructure companies in Lithuania, which actively expands its operation in the Polish market. In 2009, income of the group of companies was about EUR 300 million, 70 per cent of which was earned in Poland. The companies of the group employ over 2,500 people;
  • Represented the public company City Service, which controls the largest group of building maintenance enterprises in the Baltic states, in organising a public offering of a new issue of shares in the amount of EUR 20 million (2010);
  • Advised the specialised bank BIGBANK (Balti Investeeringute Grupi Pank AS) on carrying on activities through the Lithuanian branch;
  • Advised a client on reorganisation of activities of AIBĖ group in Latvia and acquisition of a company in the Czech Republic;
  • Advised MAXIMA LT on the structure of a new group of companies and real estate issues;
  • Represented Danske Bank in acquisition of a shareholding in AB Sampo Bankas and UAB Sampo Pensijų Fondų Valdymas;
  • Advised AB FMĮ Finasta, the largest non-banking financial brokerage firm in Lithuania, with regard to the public offering of shares (IPO) of AB Invaldos Nekilnojamojo Turto Fondas and with regard to funding of the acquisition of the oldest and biggest pharmaceutical company in Lithuania AB Sanitas;
  • Represented bank Šiaulių Bankas in connection with EBRD investments, drafted transaction documents and a legal opinion;
  • Ongoing legal representation of Lithuanian and foreign clients, including major banks and hotels, on company law, commercial law, real estate, business financing, and settlement;
  • Assistance in drafting laws and regulations of the Republic of Lithuania.
